1. Acceptance of Terms
By creating an account, accessing, or using Apselog (the “Service”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Service.
2. Definitions
- “Service” means the Apselog platform, including the web application, public status pages, ingest API, alert system, and any related documentation or software made available by
{{COMPANY_LEGAL_NAME}}(“Apselog,” “we,” “us,” or “our”). - “User” means any individual or entity that registers for or uses the Service.
- “Subscription” means a paid recurring plan (Pro or Team) that grants access to additional features and higher usage limits beyond the Free tier.
- “Customer Data” means any data — including LLM eval prompts, expected outputs, token usage events, and alert configurations — that you transmit to the Service.
3. Account Registration
To use the Service beyond anonymous public status page viewing, you must register for an account. You agree to:
- Be at least 18 years old (or the age of majority in your jurisdiction).
- Provide accurate, current, and complete information during registration.
- Keep your credentials confidential and notify us immediately of any unauthorized access at
[email protected]. - Be responsible for all activity under your account.
We reserve the right to refuse registration or cancel accounts at our discretion.
4. Subscription, Billing, and Renewal
Apselog offers three plans: Free, Pro ($29/month), and Team ($99/month). Paid Subscriptions are billed monthly in advance through Stripe.
- Auto-renewal. Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date.
- Price changes. We will give you at least 30 days’ notice before raising the price of your current plan. Continued use after the notice period constitutes acceptance.
- Taxes. Prices are exclusive of applicable taxes. You are responsible for any sales, VAT, GST, or similar taxes.
- Failed payments. If a payment fails, we will retry per Stripe’s dunning schedule. Access may be downgraded to Free after repeated failures.
5. Cancellation and Refunds
You may cancel your Subscription at any time from your account settings. Upon cancellation, your paid access continues through the end of the current billing period; no further charges will be made.
Refunds. We do not provide refunds for partial billing months. Pro-rated refunds may be granted at our sole discretion in exceptional circumstances (e.g., extended outages attributable solely to Apselog). To request a refund, email [email protected].
6. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy (“AUP”), incorporated herein by reference. You agree not to use the Service for any purpose prohibited by the AUP or applicable law.
7. Customer Data and Privacy
You retain ownership of all Customer Data you submit to the Service. By submitting Customer Data, you grant us a limited, non-exclusive license to process it solely for the purpose of providing the Service to you.
We handle your personal data in accordance with our Privacy Policy. We will not sell your Customer Data or use it to train AI models without your explicit written consent.
8. Service Availability
Free tier. The Free tier is provided without any uptime commitment. We may modify, limit, or discontinue Free tier features at any time without notice.
Pro and Team tiers. We will use commercially reasonable efforts to maintain high availability. We do not provide a formal SLA at this time; if one is introduced, it will be published at apselog.com/legal/sla and incorporated by reference.
Scheduled maintenance will be announced via in-app notification or email where reasonably practicable.
9. Modifications to the Service and Pricing
We may modify or discontinue features of the Service at any time. For material changes that negatively affect paid Subscribers, we will provide at least 30 days’ prior notice by email or in-app notification.
10. Termination
By you. You may stop using the Service and cancel your Subscription at any time.
By us. We may suspend or terminate your account immediately if you: (a) violate the AUP or these Terms; (b) provide false registration information; or (c) fail to pay amounts due. We will attempt to give notice before suspension unless doing so would cause harm to other users or the Service.
Upon termination, you may export your Customer Data for 30 days. After that period, we may permanently delete it in accordance with our Privacy Policy.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL APSELOG OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO APSELOG IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.
12. Warranty Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR MEET YOUR SPECIFIC REQUIREMENTS.
13. Indemnification
By you. You agree to indemnify, defend, and hold harmless Apselog and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your Customer Data; or (c) your violation of any law or third-party rights.
By us. We agree to indemnify, defend, and hold harmless you from and against third-party claims arising out of Apselog’s gross negligence or willful misconduct in providing the Service.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of {{GOVERNING_LAW_STATE}} (default: Delaware), without regard to its conflict-of-law principles.
Informal resolution. Before filing a formal claim, you agree to attempt to resolve the dispute informally by contacting us at [email protected] and giving us 30 days to respond.
Arbitration. For disputes exceeding $10,000 USD, and at the election of either party, the dispute shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration shall be conducted in English and the award shall be final and binding.
Small claims. Either party may bring an individual action in small claims court for disputes within that court’s jurisdiction.
Class action waiver. You waive any right to participate in a class action lawsuit or class-wide arbitration.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email (to the address on your account) or via prominent in-app notice at least 14 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance.
